01Acceptance of terms

By using Srate Global's website or engaging us for services, you agree to these terms. If you do not agree, please do not use the website or engage us.

02Our services

Srate Global provides product design and engineering services. The exact scope, deliverables, timeline, and fees of any engagement are set out in a separate signed proposal, statement of work, or master services agreement, which takes precedence over these terms where there is conflict.

03Accounts and responsibilities

If we provide credentials, dashboards, or accounts in the course of an engagement, you are responsible for keeping them secure and for the activity that occurs under them. Notify us immediately if you suspect unauthorised access.

04Acceptable use

You agree not to use our website or services to:

• Break any law or third-party right.
• Reverse-engineer, scrape, or interfere with the website's normal operation.
• Transmit malware, spam, or other harmful content.
• Impersonate any person or misrepresent your affiliation.

05Intellectual property

All content on this website — text, graphics, logos, code samples, and design — is owned by Srate Global or our licensors and is protected by copyright and other intellectual property laws.

For client engagements, IP ownership of deliverables is governed by the engagement contract. By default, we retain ownership of our pre-existing tools, libraries, and methods.

06Payment and billing

Engagement fees, billing schedule, and currency are set out in the relevant proposal or statement of work. Invoices are due on the date stated on the invoice unless otherwise agreed in writing. Late payment may incur interest at the maximum rate permitted by law.

07Warranties and disclaimers

Our website is provided "as is" without any warranty. We do not warrant that the website will be uninterrupted, error-free, or free of harmful components. For client engagements, we warrant that we will perform services in a professional and workmanlike manner, with the warranties expressly set out in the engagement contract being the only warranties we make.

08Limitation of liability

To the maximum extent permitted by law, Srate Global is not liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenues, data, or business opportunities. Our total liability arising out of or relating to these terms is limited to the fees actually paid to us in the twelve months immediately preceding the event giving rise to the claim.

09Indemnification

You agree to defend, indemnify, and hold harmless Srate Global and its team from any claim arising out of your breach of these terms, your misuse of the website, or your violation of any law or third-party right.

10Termination

We may suspend or terminate access to the website at any time if we believe you have breached these terms. Termination of any client engagement is governed by the engagement contract.

11Governing law and disputes

These terms are governed by the laws of the jurisdiction where Srate Global is registered, without regard to conflict of laws principles. Any dispute will be resolved exclusively in the courts of that jurisdiction, unless a binding contract specifies otherwise.
